You retain ownership of any content you submit or upload to our services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content as necessary to provide our services.

Trademarks

"RedCap Digital Solutions" and our logos are trademarks of RedCap Digital Solutions Pvt. Ltd. You may not use these trademarks without our prior written permission.

Service Level and Availability

While we strive to provide reliable and uninterrupted services, we do not guarantee that our services will be:

• Available at all times without interruption
• Free from errors, bugs, or security vulnerabilities
• Compatible with all hardware and software
• Immune to unauthorized access or data loss

We reserve the right to modify, suspend, or discontinue any part of our services at any time with or without notice.

Payment Terms

Indemnification

You agree to indemnify, defend, and hold harmless RedCap, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney fees, arising out of or in any way connected with:

• Your access to or use of our services
• Your violation of these Terms
• Your violation of any third-party rights
• Your content or conduct on our services

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Arbitration

Any disputes arising out of or relating to these Terms or our services shall be resolved through binding arbitration in Bangalore, India, in accordance with the Arbitration and Conciliation Act, 1996.

Jurisdiction

Subject to the arbitration provision, you agree to submit to the exclusive jurisdiction of the courts located in Bangalore, India for resolution of any disputes.

Termination

Either party may terminate these Terms and your access to our services at any time, with or without cause, with or without notice. Upon termination:

• Your right to access and use our services will immediately cease
• You remain responsible for all fees and charges incurred prior to termination
• Sections of these Terms that by their nature should survive termination will survive

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after any changes constitutes acceptance of the modified Terms.

General Provisions

Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and RedCap regarding our services.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
